Compliance Policy and Advancement System

The Wacoal Group has prepared the "Wacoal Code of Ethics" and the "Corporate Ethics: Wacoal's Code of Conduct" and continues to develop its system for compliance advancement. We have taken these steps to ensure executives and other employees perform their duties pursuant to laws, statutory regulations, and our articles of incorporation and in accordance with sound societal norms. Moreover, we aim to ensure adherence with the Group's compliance policy, which the Corporate Ethics and Risk Management Committee of Wacoal Holdings prepared.

Compliance Definition (excerpt from Compliance Regulations)

With a view to ensuring executives and other employees fully understand and adhere to the "Corporate Ethics: Wacoal's Code of Conduct" consistently, the Wacoal Group has prepared Compliance Regulations.
These regulations define compliance as follows. "Personnel engaged in the business activities of the Wacoal Group shall act in a sensible manner reflecting full understanding of laws; statutory regulations; the "Corporate Ethics: Wacoal's Code of Conduct", which Group has prepared in accordance with the "Wacoal Code of Ethics"; business management policy; and general societal conventions."

Further, the basic policies of these regulations are as follows.
(1) Based on annual plans reflecting long-term perspectives, we shall take measures steadily that ensure the effectiveness of the "Corporate Ethics: Wacoal's Code of Conduct".
(2) Executive and other personnel shall be able to act autonomously based on their understanding of the "Corporate Ethics: Wacoal's Code of Conduct".
(3) Compliance shall be monitored appropriately.

Compliance Advancement System

Subcommittee for Compliance

To ensure the policies the Corporate Ethics and Risk Management Committee prepares become effective compliance initiatives, the Group has established the Subcommittee for Compliance, comprising the general managers of each operational division.
The Subcommittee for Compliance determines and revises the "Corporate Ethics: Wacoal's Code of Conduct", prepares concrete measures to ensure the effectiveness of compliance initiatives, monitors the progress of initiatives, evaluates compliance risk, and corrects acts that infringe or may potentially infringe the "Corporate Ethics: Wacoal's Code of Conduct".
